SWITZERLAND: Ban on share transfers in insolvent shell companies
Switzerland has enacted the Federal Act on Combating Abusive Bankruptcy, declaring that a transfer of shares in a corporation or limited liability company is null and void if the company has no business activities, no realisable assets and is over-indebted. The law came into force on 1 January 2025, along with powers for the commercial register office to refuse to register a suspicious transfer.
