JERSEY: Further amendments to companies law

Further amendments to Jersey's companies law will come into force on or after 1 June 2026. The headcount test for shareholder schemes of arrangement will be removed, as will the need to obtain separate class consents in a statutory merger process. Accounting and audit requirements are simplified for Jersey companies that are dual-listed within and outside of Europe. The 30-member limit for a private company is to be abolished, as is the need to state maximum authorised share capital. A company will be able to alter its share capital by any means and the conversion of shares from one class into another will be expressly permitted.
