US: Delaware enacts amendments to company law
Significant amendments to Delaware company law have been enacted, protecting company officers against demands by out-of-state or foreign shareholders to inspect the company's books. Such demands have become more frequent in recent years and led to prolonged litigation between directors and company members. The amendments also create safe harbours so that decisions by independent directors cannot be second-guessed and litigation on controlling-stockholder and interested-party transactions can more easily be dismissed at the pleadings stage.
