新加坡:頒布法律要求 CSP 和名義股東進行登記

新加坡議會於 7 月 2 日通過了《企業服務提供者法案》以及《公司和有限責任合夥企業(雜項修正案)法案》。所有在新加坡境內或從新加坡提供企業服務的實體現在都必須向會計與企業監管局(ACRA)註冊為企業服務提供者(CSP),並且必須遵守嚴格的反洗錢義務。個人只有在通過註冊 CSP 管理的「適當人選」測試後才能出於商業目的擔任代理董事,並且所有代理董事和股東都必須向 ACRA 披露。

SINGAPORE: Law enacted to require registration of CSPs and nominee shareholders

Singapore's parliament passed the Corporate Service Providers Bill and the Companies and Limited Liability Partnerships (Miscellaneous Amendments) Bill on 2 July. All entities providing corporate services within and from Singapore are now required to register as corporate service providers (CSPs) with the Accounting and Corporate Regulatory Authority (ACRA), and must comply with stringent anti-money laundering obligations. Individuals may only act as nominee directors for business purposes if they pass a 'fit and proper' test administered by a registered CSP, and all nominee directors and shareholders must be disclosed to ACRA.
